Job Responsibility:

• Experience in handling M&A, private equity, joint ventures, commercial contracts.
• Undertaking legal due diligence.
• Reviewing and negotiating the transactional documents such as Shareholders Agreement, Share Subscription Agreement, Share
Purchase Agreement, OCD agreement, etc.
• Drafting and reviewing the various commercial contracts such as supply agreement, services agreement, EPC agreement, O&M
Agreement, etc;
• Drafting and reviewing the Term Sheets, MOU’s, MSA’s, NDA’s etc;
• Preparing a risk matrix of the Contracts.
• Appointing law firms/partners for representing the company in complex transactions.
• Assisting in ensuring the conditions precedent and conditions subsequent have been met;
• Advising the management and the stakeholders on the contractual clauses and their implications.
• Advising on legal queries.
• Maintaining the repository for the contracts of the Company.
