Seeking a Corporate Counsel professional with an understanding of legal frameworks in the construction or EPC industries.
Key Responsibilities:
- Lead the negotiation and execution of a wide array of commercial agreements, including but not limited to service contracts, procurement documents, licensing deals, confidentiality agreements, and equipment leases.
- Oversee legal aspects of real estate transactions, including drafting and negotiating leases, subleases, licenses, and property sales, while ensuring ongoing compliance with lease obligations.
- Evaluate procurement and sourcing contracts to ensure alignment with legal standards, internal policies, and risk management protocols.
- Collaborate with executive leadership to shape and enforce governance frameworks, compliance strategies, and internal policies in accordance with applicable laws and industry regulations.
- Support project teams by providing legal guidance on regulatory and contractual obligations, ensuring operational compliance and proper incident response.
- Deliver legal advice and contract support across a range of areas including construction law, employment matters, real estate, corporate governance, and commercial disputes.
- Take on special projects and assignments as directed by executive leadership.
Qualifications & Experience:
- Juris Doctor (J.D.) degree with 5+ years of relevant legal experience, preferably in the EPC or construction sector.
- Active bar membership in Texas or eligibility for in-house counsel registration in Texas if licensed in another state.
- Demonstrated expertise in managing complex procurement and subcontractor agreements.
- Proven ability to work autonomously, manage cross-functional relationships, and engage with senior leadership.
- Strong negotiation, drafting, and communication skills.
- Business-oriented mindset with a commitment to delivering practical legal solutions.
- Excellent organizational and interpersonal skills.
